Valuation & Diligence Output Terms

These Valuation & Diligence Output Terms (the "Output Terms") govern your access to and use of any Valuation or Diligence Output generated through the CreateBase platform and services (the "Services") operated by The Cur8 Group Corp., a Delaware corporation ("CreateBase," "we," "us," or "our"). These Output Terms are an addendum to, and form part of, the agreement under which you access the Services — the Consumer Terms of Service for self-serve users, or an Enterprise Master Services Agreement and applicable Order Form for enterprise customers (as applicable, the "Governing Terms"). Capitalized terms not defined here have the meaning given in the Governing Terms and the AI Terms. An Enterprise Master Services Agreement or Order Form may modify or supersede these Output Terms for enterprise customers.

PLEASE READ THESE OUTPUT TERMS CAREFULLY. THEY CONTAIN IMPORTANT DISCLAIMERS, LIMITS ON WHO MAY RELY ON OUTPUTS, AND LIMITATIONS OF LIABILITY THAT AFFECT YOUR LEGAL RIGHTS. GENERATING OR DOWNLOADING AN OUTPUT CONSTITUTES YOUR ACCEPTANCE OF THESE OUTPUT TERMS.

1. Scope

These Output Terms apply to all valuations and diligence outputs the Services generate (collectively, "Outputs"), including discounted-cash-flow ("DCF") based valuations (each, a "Valuation") and diligence outputs such as chain-of-title mapping, data-quality scoring, the risk-clause register, revenue-at-risk and leakage analysis, confidence scores, and source citations (collectively, "Diligence Outputs"). The Outputs are produced using automated processing and artificial intelligence as described in the AI Terms, which also apply to your use of the Outputs.

2. Informational Purposes Only

OUTPUTS ARE FOR INFORMATIONAL PURPOSES ONLY. EACH OUTPUT IS AN ESTIMATE PROVIDED TO ASSIST THE RECIPIENT'S OWN INDEPENDENT EVALUATION. OUTPUTS DO NOT CONSTITUTE INVESTMENT, FINANCIAL, LEGAL, TAX, ACCOUNTING, APPRAISAL, OR BROKERAGE ADVICE, AND ARE NOT A RECOMMENDATION OR SOLICITATION TO BUY, SELL, HOLD, LEND AGAINST, OR OTHERWISE TRANSACT IN ANY ASSET, CATALOG, SECURITY, OR INTEREST. NO OUTPUT IS AN APPRAISAL, A FAIRNESS OPINION, A USPAP-COMPLIANT VALUATION, AN AUDIT, A CREDIT RATING, OR ANY OTHER FORM OF CERTIFIED OR REGULATED OPINION.

In plain English: A CreateBase valuation is a model-driven estimate to help you think, not a professional appraisal or financial advice you can rely on by itself. It is not the same as hiring a licensed appraiser, an investment bank, or an accountant, and you should not treat it that way.

3. No Reliance; Independent Verification

You are solely responsible for independently verifying every Output and the data and assumptions underlying it before relying on or acting on it. You should engage your own qualified professional advisers — including legal, financial, tax, accounting, and valuation professionals — as appropriate to your circumstances. No decision, including any investment, acquisition, disposition, financing, lending, or pricing decision, should be based solely on an Output. Your use of, and any reliance on, an Output is entirely at your own risk.

4. Reliance Limited to the Named Subscriber; No Third-Party Beneficiaries

ONLY THE SUBSCRIBER OR CUSTOMER THAT GENERATED AN OUTPUT THROUGH ITS OWN ACCOUNT (THE "NAMED SUBSCRIBER") MAY USE OR RELY ON THAT OUTPUT, AND ONLY FOR THE NAMED SUBSCRIBER'S OWN INTERNAL EVALUATION. NO OTHER PERSON OR ENTITY — INCLUDING LIMITED PARTNERS, CO-INVESTORS, LENDERS, BUYERS, SELLERS, COUNTERPARTIES, ADVISERS, OR ANY OTHER THIRD PARTY — IS ENTITLED TO RECEIVE OR RELY ON ANY OUTPUT. CREATEBASE OWES NO DUTY OF ANY KIND TO ANY PERSON OTHER THAN THE NAMED SUBSCRIBER WITH RESPECT TO THE OUTPUTS. THERE ARE NO THIRD-PARTY BENEFICIARIES OF THESE OUTPUT TERMS OR OF ANY OUTPUT.

If you share an Output with any third party (subject to Section 8), you remain solely responsible for that disclosure, and no such third party acquires any right to rely on the Output or any claim against CreateBase. You agree to indemnify and hold CreateBase harmless from claims arising out of any unauthorized disclosure of, or third-party reliance on, an Output, to the extent permitted by the Governing Terms and applicable law.

5. Methodology and Assumptions

Outputs are generated from data you supply, data obtained from third-party sources, and models, methodologies, and assumptions that are necessarily simplifications of complex, uncertain, and changing circumstances. Such data may be incomplete, inaccurate, out of date, misclassified, or unverifiable, and we do not independently audit or guarantee it. The quality of any Output depends directly on the quality of its inputs — in other words, garbage in, garbage out.

Valuations in particular are highly sensitive to their assumptions. A DCF-based Valuation depends on inputs such as projected revenue and decay curves, discount rate, terminal value, royalty and expense ratios, ownership splits, the accuracy of chain-of-title, and the forecast horizon. Small changes in any of these assumptions can produce large changes in the resulting Valuation. Outputs reflect the assumptions and data available at the time of generation and are not updated for subsequent events.

In plain English: Our valuations run a model over numbers you and third parties give us. If those numbers are off, the valuation will be off. And because a DCF is sensitive to its assumptions, two reasonable people using slightly different inputs can get very different answers.

6. No Guarantee; Forward-Looking Statements

We do not warrant or guarantee the accuracy, completeness, reliability, or fitness for any purpose of any Output. Outputs include forward-looking estimates and projections that are inherently uncertain and are not guarantees of future results. Actual results may differ materially from any projection. Past performance, including historical royalty performance, is not indicative of, and does not guarantee, future results.

7. No Fiduciary or Advisory Relationship

Your access to or use of the Services and the Outputs does not create, and shall not be construed as creating, any advisory, fiduciary, agency, partnership, or similar relationship between you and CreateBase for valuation, investment, or diligence purposes. CreateBase acts solely as a technology provider with respect to the Outputs and does not act as your adviser, agent, or fiduciary in connection with any Output or any transaction you may consider.

8. Redistribution Restrictions

Outputs are licensed for the Named Subscriber's internal use only. Without our prior written consent, you may not publicly distribute, publish, or quote any Output, and you may not include or reference any Output, in whole or in part, in any prospectus, offering memorandum, registration statement, marketing material, financing or lending document, or other document furnished to investors, lenders, regulators, or the public. Any permitted disclosure must reproduce the disclaimers in these Output Terms.

9. Acceptance at the Point of Generation

By generating, viewing, exporting, or downloading an Output, you acknowledge that you have read, understood, and agree to be bound by these Output Terms with respect to that Output, whether or not you are the same individual who accepted the Governing Terms. If you do not agree to these Output Terms, do not generate or download Outputs.

10. Limitation of Liability Specific to Outputs

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREATEBASE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST OPPORTUNITY, DIMINUTION IN VALUE, OR TRANSACTION-BASED OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO ANY OUTPUT OR ANY RELIANCE ON ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CREATEBASE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE OUTPUTS IS SUBJECT TO, AND CAPPED CONSISTENT WITH, THE LIMITATION OF LIABILITY IN THE GOVERNING TERMS (THE CONSUMER TERMS OF SERVICE OR THE APPLICABLE ENTERPRISE MASTER SERVICES AGREEMENT AND ORDER FORM).

Nothing in these Output Terms limits or excludes any liability that cannot be limited or excluded under applicable law. Where the Consumer Terms of Service govern, nothing in these Output Terms limits or excludes liability for fraud, gross negligence, or willful injury, consistent with California law.

11. Regulatory Note

Nothing in the Services or the Outputs renders CreateBase an investment adviser, broker or dealer, appraiser, valuation firm, credit rating agency, or other regulated financial, valuation, or advisory professional, and CreateBase does not hold itself out as any of the foregoing. The Outputs are software-generated estimates and are not registered, certified, or regulated opinions.

These Output Terms are governed by, and supplement, the Governing Terms applicable to you: the Consumer Terms of Service (California law) for self-serve users, or an Enterprise Master Services Agreement and Order Form (Delaware law) for enterprise customers. To the extent these Output Terms conflict with the Governing Terms or the AI Terms with respect to Valuations and Diligence Outputs, these Output Terms control, except that an Enterprise Master Services Agreement or Order Form may expressly modify or supersede these Output Terms for enterprise customers.
