AI Terms

These AI Terms (the "AI Terms") govern your access to and use of the artificial-intelligence features of the CreateBase platform and services (the "Services") operated by The Cur8 Group Corp., a Delaware corporation ("CreateBase," "we," "us," or "our"). These AI Terms are an addendum to, and form part of, the agreement under which you access the Services — the Consumer Terms of Service for self-serve users, or an Enterprise Master Services Agreement and applicable Order Form for enterprise customers (as applicable, the "Governing Terms"). Capitalized terms not defined here have the meaning given in the Governing Terms. In the event of a conflict, an Enterprise Master Services Agreement or an Order Form may modify or supersede these AI Terms for enterprise customers.

In plain English: CreateBase uses AI to read your catalog files and produce diligence findings and valuations. This page explains how that works, who owns what, and the important limits on what AI output can be relied on for. It sits on top of your main agreement with us.

1. Scope and How AI Is Used

The Services use a combination of automated processing and artificial intelligence to help you evaluate music catalogs. When you upload catalog files (including royalty statements, contracts and agreements, ownership and splits metadata) or paste digital service provider ("DSP") links (collectively, "User Content"), the Services run an automated rights check and apply AI "skills" that analyze your User Content to generate results (collectively, "Outputs"), including chain-of-title mapping, data-quality scoring, a risk-clause register, revenue-at-risk and leakage analysis, confidence scoring, source citations, and discounted-cash-flow ("DCF") based valuations.

To deliver these AI features, we use third-party foundation-model providers, currently OpenAI and Anthropic, who act as our Subprocessors. The current list of Subprocessors is available at our Subprocessors page. We may add, remove, or change Subprocessors and underlying models from time to time consistent with these AI Terms and the Governing Terms.

These AI Terms apply to all AI-enabled features of the Services (the "AI Services") and to all Outputs. Your use of Valuations and Diligence Outputs is additionally governed by the Valuation & Diligence Output Terms, which control in the event of any conflict with respect to those Outputs.

2. Inputs and Outputs

2.1 Definitions

"Inputs" means the User Content and any prompts, instructions, parameters, or other materials you submit to the AI Services. "Outputs" means the diligence results, analyses, scores, registers, citations, valuations, and other content the AI Services generate from your Inputs.

2.2 Your Inputs

As between you and CreateBase, you retain all right, title, and interest in and to your Inputs, including all intellectual property rights in your User Content. We do not claim any ownership of your Inputs. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and transmit your Inputs to our Subprocessors solely to operate, secure, and provide the Services to you and to generate your Outputs.

2.3 Your Outputs

Subject to your compliance with these AI Terms and the Governing Terms, and to our retained rights below, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Outputs generated for you for your own internal business purposes. Because of the nature of generative AI, Outputs may not be unique, and similar or identical Outputs may be generated for, or provided to, other users; nothing in these AI Terms grants you exclusivity over any Output.

2.4 Our Platform IP and Use of De-Identified Data

We and our licensors retain all right, title, and interest in and to the Services, the AI Services, our models, software, prompts, workflows, methodologies, and all other technology and intellectual property used to provide the Services ("Platform IP"). Nothing in these AI Terms transfers any Platform IP to you. We may collect and use de-identified and aggregated data derived from use of the Services (data that does not identify you, your Inputs, or your Outputs) to operate, secure, analyze, and improve the Services. This right is separate from, and does not contradict, our No-Training Commitment in Section 3.

NO-TRAINING COMMITMENT. WE DO NOT USE YOUR USER CONTENT OR YOUR OUTPUTS TO TRAIN, FINE-TUNE, OR OTHERWISE DEVELOP FOUNDATION OR BASE AI MODELS. OUR FOUNDATION-MODEL PROVIDERS (OPENAI AND ANTHROPIC) PROCESS YOUR USER CONTENT AND OUTPUTS UNDER ZERO-RETENTION AND NO-TRAINING TERMS, MEANING THEY DO NOT RETAIN YOUR DATA BEYOND WHAT IS NEEDED TO RETURN A RESULT AND DO NOT USE IT TO TRAIN THEIR MODELS. THIS COMMITMENT FLOWS THROUGH TO OUR SUBPROCESSOR AGREEMENTS. TO BE CLEAR, WE DO SEND YOUR USER CONTENT TO AI MODELS TO ANALYZE YOUR UPLOADS AND PRODUCE YOUR RESULTS — THAT IS HOW THE SERVICES WORK — BUT THAT REAL-TIME PROCESSING TO SERVE YOU IS NOT MODEL TRAINING, AND YOUR CONTENT IS NOT USED TO IMPROVE THE UNDERLYING AI MODELS.

3. No-Training Commitment

We use AI models to read and analyze your uploads in order to generate the Outputs you request. That processing is necessary to deliver the Services. However:

We do not use your User Content or Outputs to train, fine-tune, or develop any foundation or base AI model, whether ours or a third party's.
Our foundation-model providers operate under zero-retention and no-training contractual terms for data we route to them in connection with the AI Services.
This no-training commitment flows through to our agreements with the relevant Subprocessors, so the obligation is contractual at each layer.

In plain English: The distinction is simple. To give you a result, we have to feed your files to an AI model in real time — that is allowed and expected. What we do not do, and what our providers contractually agree not to do, is keep your data afterward or use it to make the AI models smarter. Using AI to serve you is not the same as training AI on you.

The de-identified and aggregated analytics described in Section 2.4 are not foundation-model training data and do not include your identifiable User Content or Outputs. Enterprise customers may have additional or differing data-handling commitments set out in an Enterprise Master Services Agreement, Order Form, or Data Processing Addendum.

4. Accuracy, Hallucination, and No Warranty

Artificial intelligence is probabilistic and imperfect. Outputs may be inaccurate, incomplete, out of date, internally inconsistent, or entirely fabricated (a phenomenon commonly called "hallucination"), even where they appear authoritative or cite sources. Confidence indicators, scores, and citations are indicative only; they are estimates of reliability generated by the same automated processes and are not guarantees of accuracy.

THE AI SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUTS ARE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE. NOTHING IN THESE AI TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING (WHERE THE CONSUMER TERMS GOVERN) LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL INJURY.

5. Human Review and No Reliance

Outputs are a starting point for your own analysis, not a substitute for it. You are responsible for independently reviewing, verifying, and exercising your own professional judgment before relying on or acting on any Output. You should not make any decision based solely on an Output, and you should engage qualified professional advisers as appropriate. For Valuations and Diligence Outputs, these obligations are addressed in greater detail in the Valuation & Diligence Output Terms.

In plain English: Treat AI output the way you would treat a very fast junior analyst's first draft: useful, but check it. The legal and financial responsibility for any decision stays with you.

6. Acceptable Use of AI

In addition to the acceptable-use rules in the Governing Terms, you agree not to:

use the AI Services or any Output to develop, train, or improve any AI or machine-learning model, or to build a product or service that competes with the Services;
attempt prompt injection, jailbreaks, or other manipulation of the AI Services, or otherwise abuse, overload, reverse engineer, or circumvent the AI Services or their safety, rate-limiting, or security controls;
submit User Content that you do not have all necessary rights, licenses, consents, and authority to submit and to have processed by the AI Services and our Subprocessors;
use the AI Services to generate content that is unlawful, infringing, deceptive, or that violates the rights of any third party.

7. Third-Party Data in Inputs

Your Inputs may contain data relating to third parties, including co-writers, rightsholders, counterparties, and other individuals or entities. You represent and warrant that you have all rights, authority, and (where required) consents necessary to submit such third-party data to the Services and to have it processed by us and our Subprocessors for the purposes described in these AI Terms. You are solely responsible for the legality of the User Content you submit.

8. Changes to Models

The AI Services depend on third-party models and providers that change over time. We may add, remove, replace, upgrade, or reconfigure the models, providers, and Subprocessors used to deliver the AI Services at any time. As a result, the behavior, availability, performance, and Outputs of the AI Services may vary or change, and an Output generated at one time may differ from an Output generated from the same or similar Inputs at another time. We do not warrant the continued availability of any particular model or feature.

9. Relationship to Other Terms

These AI Terms supplement, and are governed by, the Governing Terms applicable to you: the Consumer Terms of Service (governed by California law, with binding arbitration in San Diego and a 30-day arbitration opt-out) for self-serve users, or an Enterprise Master Services Agreement and Order Form (governed by Delaware law) for enterprise customers. To the extent these AI Terms conflict with the Governing Terms with respect to the subject matter addressed here, these AI Terms control, except that an Enterprise Master Services Agreement or Order Form may expressly modify or supersede these AI Terms for enterprise customers, and the Valuation & Diligence Output Terms control with respect to Valuations and Diligence Outputs.
