Acceptable Use Policy

This Acceptable Use Policy (the “Policy”) describes activities that are prohibited when you access or use the CreateBase platform, website, applications, application programming interfaces, and related services (collectively, the “Services”) operated by The Cur8 Group Corp. (“CreateBase,” “we,” “us,” or “our”). It supplements, and is incorporated by reference into, our Terms of Service and any other agreement under which you use the Services. Capitalized terms not defined here have the meanings given in those agreements.
1. Purpose and Applicability
This Policy applies to every person and entity that accesses or uses the Services, including all Subscribers, Customers, Authorized Users, visitors, and anyone acting on their behalf, regardless of subscription tier, plan, or audience track. It also applies to all User Content you upload, paste, transmit, or otherwise make available through the Services, and to all Outputs you receive, access, or use.
By using the Services, you agree to comply with this Policy and to ensure that everyone using the Services through your account complies with it. You are responsible for the activity that occurs under your account and credentials.
2. Prohibited Content
You may not upload, paste, store, transmit, generate, or otherwise make available through the Services any content that:
- Infringes intellectual property: infringes, misappropriates, or violates any copyright, trademark, trade secret, patent, moral right, or other intellectual-property or proprietary right of any party, or that you do not have the rights or authority to provide to us;
- Is unlawful: violates any applicable law, regulation, court order, sanctions program, or the rights of any third party, or that promotes or facilitates illegal activity;
- Is harmful or abusive: is defamatory, libelous, obscene, harassing, threatening, hateful, or that depicts or promotes violence, exploitation, or abuse;
- Is fraudulent or deceptive: is false, misleading, deceptive, or designed to defraud, including falsified royalty statements, forged contracts, fabricated ownership or splits metadata, or manipulated source documents intended to distort Diligence Outputs or Valuations;
- Violates privacy: contains personal data that you are not authorized to disclose, or that you collected or are processing in violation of any privacy law or obligation, including sensitive personal data about co-writers, counterparties, heirs, or other third parties for which you lack a lawful basis or required consent;
- Is malicious: contains viruses, worms, malware, ransomware, or any code, files, or programs designed to interrupt, damage, disable, or surveil any software, hardware, data, or telecommunications equipment.
3. Prohibited Conduct
You may not, and may not permit or assist anyone else to:
- interfere with, disrupt, or impair the integrity, availability, or performance of the Services, or the data, systems, or networks underlying or connected to them;
- introduce, distribute, or execute any malware, malicious code, or harmful component through or against the Services;
- overload, flood, spam, or otherwise place an unreasonable or disproportionate burden on our infrastructure, including through denial-of-service or distributed denial-of-service activity;
- use the Services in any manner that could disable, overburden, or impair their proper functioning, or that interferes with any other party's use and enjoyment of the Services;
- send unsolicited communications, advertising, or promotional material through the Services in violation of applicable law.
4. Security Rules
To protect the Services and all users, you may not, and may not permit or assist anyone else to:
- probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measure, without our prior express written authorization;
- access, or attempt to access, any account, data, system, or portion of the Services that you are not authorized to access;
- circumvent, disable, or otherwise interfere with any access controls, rate limits, usage restrictions, or other technical or security measures we employ;
- decrypt, intercept, or capture any data transmitted to or from the Services that is not intended for you;
- forge headers, manipulate identifiers, or otherwise disguise the origin of any content or activity transmitted through the Services.
5. No Automated Access, Scraping, or Bots
You may not use any robot, spider, scraper, crawler, or other automated means to access, monitor, harvest, or copy any part of the Services or their content without our prior express written permission. You may not use the Services through any interface other than those we provide, including the official application programming interfaces, and you may not exceed any rate limits or usage parameters we set.
6. No Reverse Engineering
Except to the extent this restriction is prohibited by applicable law, you may not reverse engineer, decompile, disassemble, or otherwise attempt to discover, derive, or reconstruct the source code, underlying models, algorithms, weights, prompts, training methods, or trade secrets of the Services or any component of them, whether by analyzing the Services, the Outputs, or otherwise.
7. No Competitive Use
You may not, and may not permit or assist anyone else to:
- use the Services, the Outputs, the Documentation, or any data derived from them to design, develop, train, fine-tune, or improve any product, service, machine-learning model, or artificial-intelligence system that competes with CreateBase;
- conduct competitive benchmarking, performance testing, or comparative analysis of the Services for the benefit of a competitor or for the purpose of building a competing offering;
- copy, replicate, or create derivative versions of the features, functionality, user interface, analytical methodology, or scoring of the Services;
- access the Services for the purpose of monitoring their availability, performance, or functionality for any competitive purpose.
8. No Misrepresentation or Impersonation
You may not, and may not permit or assist anyone else to:
- impersonate any person or entity, or falsely state or otherwise misrepresent your identity, affiliation, authority, or relationship with any person or entity;
- misrepresent the source, ownership, or rights associated with any User Content, including catalogs, royalty statements, contracts, or splits metadata;
- present Outputs as having been independently verified or endorsed by CreateBase beyond what the Services actually provide, or otherwise misuse our name, marks, or reputation.
9. Data and Rights Responsibilities
You are solely responsible for the User Content you provide. By uploading, pasting, or otherwise submitting User Content, you represent and warrant that:
- you own or have all rights, licenses, consents, and permissions necessary to provide that User Content to us and to authorize us and our Subprocessors to process it to deliver the Services;
- you have provided all required notices and obtained any required consents from individuals whose personal data appears in your uploads, and you have a lawful basis for the processing;
- your provision and our processing of the User Content does not and will not violate any law, contract, confidentiality obligation, or third party right.
10. Enforcement
We may investigate any suspected violation of this Policy. If we determine, in our reasonable discretion, that a violation has occurred or is likely to occur, we may take any action we consider appropriate, including:
- removing, disabling, or restricting access to offending User Content or Outputs;
- suspending or terminating your access to all or part of the Services, with or without notice;
- throttling, rate-limiting, or otherwise restricting your use of the Services;
- reporting activity to, and cooperating with, law enforcement, regulators, and other authorities, and preserving and disclosing information as required or permitted by law.
Our right to enforce this Policy is in addition to, and not in lieu of, any other rights and remedies available to us under our agreements or at law or in equity. Our failure to enforce any provision is not a waiver of our right to do so later.
11. Reporting Abuse
If you become aware of any violation of this Policy, or of any abuse, infringement, or security concern involving the Services, please report it promptly. Copyright complaints may also be submitted under our Copyright & DMCA Policy.
This Policy may be updated from time to time. Material changes will be communicated through the Services or by other reasonable means, and your continued use of the Services after an update constitutes acceptance of the revised Policy.
