Service Level Agreement

This Service Level Agreement (this "SLA") is incorporated into and forms part of the Master Subscription Agreement (the "MSA") between The Cur8 Group Corp. ("CreateBase") and Customer. This SLA applies to enterprise subscriptions to the production Services as identified on the applicable Order Form. Capitalized terms not defined here have the meanings given in the MSA.
1. Uptime Commitment
CreateBase will use commercially reasonable efforts to make the production Services available with a Monthly Uptime Percentage of at least ninety-nine and nine-tenths percent (99.9%) during each calendar month (the "Uptime Commitment").
2. Definitions
- "Monthly Uptime Percentage" means, for a given calendar month, the total number of minutes in the month minus the number of minutes of Downtime during the month, divided by the total number of minutes in the month, expressed as a percentage.
- "Downtime" means a period during which the production Services are not available for Customer's use, as measured by CreateBase's monitoring, excluding any Excluded Downtime.
- "Excluded Downtime" means any unavailability resulting from: (a) scheduled or emergency maintenance for which CreateBase provides advance notice where reasonably practicable; (b) force majeure events or other causes beyond CreateBase's reasonable control; (c) acts or omissions of Customer or its Authorized Users, including misconfiguration, misuse, or use of the Services other than in accordance with the MSA and Documentation; or (d) failures, suspensions, or unavailability of third-party platforms, networks, or services not within CreateBase's direct control, including DSPs, third-party model providers, and Subprocessor infrastructure.
3. Service Credits
If the Monthly Uptime Percentage falls below the Uptime Commitment in a given calendar month, Customer is eligible to request a service credit calculated as a percentage of the monthly subscription fee attributable to the affected production Services for that month, as set forth below:

Service credits are calculated against the monthly fee for the affected Services and are applied as a credit against a future invoice. Service credits may not be exchanged for, or converted to, monetary payment, and the total credits issued for any month will not exceed fifty percent (50%) of the monthly fee for that month.
4. Claim Procedure & Window
To receive a service credit, Customer must submit a claim to legal@createbase.com within thirty (30) days after the end of the calendar month in which the Downtime giving rise to the claim occurred. The claim must include the dates and times of the claimed Downtime and any supporting information reasonably available to Customer. CreateBase will evaluate the claim in good faith against its monitoring records and, if the claim is validated, apply the applicable service credit. CreateBase's monitoring records will be the primary basis for resolving any claim. Claims submitted after the thirty (30) day window are not eligible for a credit.

CreateBase provides technical support for the production Services during the subscription term. Customer may submit support requests to legal@createbase.com or through the support channel designated on the applicable Order Form. CreateBase will use commercially reasonable efforts to meet the initial response targets below, measured from CreateBase's receipt of a properly submitted request, based on the severity assigned by CreateBase in good faith after consultation with Customer:

Response targets reflect the time to an initial substantive response and not the time to resolution. CreateBase will use commercially reasonable efforts to work toward resolution of validated issues in a manner consistent with their severity.
